Month-to-month membership for Hilo's Brooklyn social pool club
Operator: Hilo, Inc., doing business as Hilo
Club: Brooklyn, New York
Effective date: The date you accept this Agreement
Contact: hello@hilopoolroom.com
AUTOMATIC RENEWAL AND CANCELLATION NOTICE
Membership is $195 per month, plus applicable taxes and any lawful credit-card surcharge included in the total displayed before checkout. After any initial prorated period, membership renews automatically on the 1st of each month until canceled. Cancel through the online member account or by emailing hello@hilopoolroom.com no later than 11:59 p.m. Eastern Time on the last day of the month to avoid the next charge. Hilo does not offer membership pauses.
This Membership Agreement (the "Agreement") is between Hilo, Inc., doing business as Hilo ("Hilo," "we," "us," or "our"), and the individual who signs or accepts it (the "Member" or "you"). It governs your membership and access to Hilo's physical club, member systems, reservation services, and related amenities.
-
By signing electronically, checking the acceptance box, or otherwise completing enrollment, you acknowledge that you have read and agree to this Agreement, the House Rules, the recurring-charge disclosure presented at checkout, and Hilo's Privacy Policy. The House Rules are incorporated into this Agreement.
If these documents conflict, the specific checkout disclosure controls the applicable purchase, this Agreement controls the membership relationship, and the House Rules control day-to-day conduct unless inconsistent with this Agreement or applicable law.
-
All prospective members are carefully screened and must be pre-approved by Hilo before admission. An application, waitlist position, presale payment, or invitation does not guarantee membership.
Membership is limited to persons age 21 or older and is personal, revocable, and nontransferable. Hilo may verify identity and age and may limit membership to protect table availability, safety, security, and the quality of the member experience. Decisions will be made in good faith for lawful reasons and not for an unlawfully discriminatory or retaliatory reason. Hilo will consider reasonable accommodations when required by law.
Membership does not create any ownership, tenancy, employment, partnership, voting, investment, or other proprietary interest in Hilo.
-
Your membership begins on the start date shown in your enrollment confirmation and continues month-to-month. After any initial prorated period, it automatically renews on the 1st of each month for another one-month period until you cancel or Hilo lawfully ends or declines to renew it. This is not an annual commitment.
Hilo will provide an enrollment acknowledgment that you can retain and that states the recurring price, billing frequency, cancellation deadline, and cancellation methods.
-
The base membership fee is $195 per month, plus applicable taxes. If membership begins on a date other than the 1st, the initial membership charge will be prorated from the start date through the last day of the month, and the regular monthly charge will begin on the next 1st.
If you choose to pay by credit card and Hilo imposes a credit-card surcharge, Hilo will display the total credit-card price, inclusive of the surcharge, before requesting payment authorization. Any surcharge will not exceed Hilo's actual card-processing charge or the maximum permitted by law. The recurring amount authorized is the total shown in the checkout or enrollment record.
By enrolling, you authorize Hilo and its payment processor to charge your selected payment method for the initial prorated amount, the recurring monthly total displayed at enrollment, applicable taxes, and other amounts you separately authorize, including monthly locker rental or replacement-access charges.
If you paid a $45 presale deposit, it will be credited toward your first membership payment if you are accepted and activate membership. The deposit will be refunded if Hilo rejects your application, or on request at any time before your membership is activated.
A one-time $195 new-member fee applies to members who join after the presale period unless Hilo expressly waives it. Members accepted during the advertised presale period will receive the waiver described in the applicable offer.
If payment fails, Hilo may retry the charge, request updated payment information, and suspend access until valid outstanding charges are paid. You remain responsible for authorized unpaid amounts.
-
You may cancel at any time through your online member account or by emailing hello@hilopoolroom.com. Cancellation must be completed by 11:59 p.m. Eastern Time on the last day of the month to prevent the charge scheduled for the 1st. Hilo will acknowledge cancellation in a form you can retain.
Cancellation stops future renewals and becomes effective at the end of the current paid period. Except where required by law or expressly agreed by Hilo, fees already paid are nonrefundable and are not prorated. You may continue using the Club through the paid period unless access is suspended or terminated under this Agreement.
Hilo does not offer membership pauses or freezes. Rejoining after cancellation is subject to capacity, screening, approval, the then-current price, and the then-current enrollment terms.
-
Hilo may change future prices or other terms prospectively by giving at least 30 days' advance notice and obtaining any consent required by law. A change will not apply before its stated effective date. You may cancel before a change takes effect. Hilo will not retroactively alter a dispute or accrued right unless lawful and expressly agreed.
-
Members in good standing may access the Club 24 hours a day, 7 days a week. Hilo may temporarily restrict access for maintenance, repairs, emergencies, private events, capacity management, legal compliance, building requirements, equipment problems, or circumstances beyond Hilo's reasonable control. Membership does not guarantee that every table, amenity, or area will always be available.
Your phone-based digital key or other access credential is personal and may be used only by you. You may not share, copy, sell, transfer, or publish it; use another person's credential; admit an unauthorized person; prop open a secured door; permit tailgating; or bypass or interfere with access-control equipment. Promptly report any lost device, compromised credential, or unauthorized entry.
If Hilo issues you a physical key fob, it remains Hilo's property and is for your use only. If your key fob is lost, stolen, or damaged, report it promptly so Hilo can deactivate it. A replacement key fob costs $10. You must return your key fob to Hilo when your membership ends, whether you cancel or Hilo terminates or declines to renew your membership.
Hilo may deactivate or restrict a credential when membership expires, payment fails, a safety or security concern arises, or Hilo reasonably believes the credential has been misused. A technical failure does not authorize forced entry or bypassing security.
-
Hilo currently intends to operate four pool tables: two reservation tables, one social table, and one flexible table that Hilo may use for reservations or social play. Only active members in good standing may reserve a reservation table. A reservation is limited to a maximum of two hours. The member portal and House Rules may establish reasonable rules for advance booking, check-in, cancellation, consecutive bookings, active future reservations, and no-shows.
Repeated no-shows, late cancellations, reservation manipulation, use of another person's account, or attempts to monopolize table time may result in booking restrictions, suspension, or termination. A reservation provides priority only for the assigned table and time and may be interrupted by an emergency, closure, equipment issue, or safety concern.
-
The social table, and the flexible table when it is not reserved, use an ongoing player list. Unless Hilo announces a different format for an event, each turn consists of one game, the winner stays, and the next person on the list plays. Members must join and follow the list in good faith, avoid reserving places for absent players, and comply with reasonable rotation instructions. Social-table access does not guarantee immediate play or a minimum number of games.
-
Hilo may offer a limited number of paid day passes, priced at $50, or $40 when a member buys a pass for a guest, plus applicable taxes. Passes require advance online purchase, Hilo approval, identity and age verification, and acceptance of separate day-pass terms. Approved pass holders may use only the social table and, when available, the flexible table, and do not receive reservation privileges.
Membership does not include open guest privileges; to bring a guest, a member may buy the guest a discounted day pass, subject to Hilo's approval. You may not admit a friend, coach, spectator, delivery person, or other visitor unless that person has valid authorization from Hilo. Members may order delivery, but delivery personnel must follow Hilo's entry instructions and may not be given a member credential.
-
You agree to:
Treat members, pass holders, neighbors, contractors, and Hilo personnel with respect.
Refrain from harassment, threats, violence, stalking, theft, unlawful discrimination, illegal gambling, and other unlawful activity.
Play safely; keep exits and walkways clear; and follow posted equipment, building, fire, occupancy, and emergency rules.
Use only the building entrances and elevators that Hilo or the building designates, follow the building's rules, and do not gather or linger in the building lobby, hallways, elevators, or adjacent sidewalks.
Keep music and other sound at a background level that does not disturb other building tenants.
Avoid conduct that unreasonably disrupts play, work, neighboring properties, or the member experience.
Clean your playing and work areas, return shared equipment, and promptly report hazards, injuries, security incidents, and material property damage. Vacuum and sweep tables after each use.
Comply with reasonable instructions given for safety, security, operations, and enforcement of this Agreement or the House Rules.
Weapons, illegal drugs, smoking, vaping, open flames, dangerous materials, and animals other than service animals required by law are prohibited. Hilo may adopt or revise reasonable House Rules for safety, security, fair access, equipment care, and orderly operation, subject to required notice and applicable law.
-
Use tables and equipment only for their intended purpose. Do not sit on pool tables, place food or unauthorized drinks on them, move tables or lights, attempt repairs, or use unapproved cleaning products. You are responsible, to the extent permitted by law, for damage caused by your intentional misconduct, reckless conduct, or material failure to follow equipment rules.
Personal cue lockers may be offered for a separate monthly rental. A locker is licensed storage space, not leased premises. Locker use is governed by separate pricing and rules. Hilo may open a locker when reasonably necessary for an emergency, maintenance, suspected illegal or dangerous contents, abandonment, or enforcement of published locker terms, in each case as permitted by law.
A refrigerator, microwave, and light snacks may be available as shared conveniences. Cooking is not permitted. Store and handle food safely, label personal items when required, clean spills, and remove expired or abandoned items. Hilo is not an insurer of cues, devices, food, deliveries, or other personal property. Keep valuables with you.
-
High-speed Wi-Fi and power outlets are shared conveniences and may be interrupted. Pool play creates substantial background noise; Hilo does not promise a quiet office, private call environment, uninterrupted connectivity, particular bandwidth, or suitability for confidential or regulated work. You are responsible for securing your devices, data, and communications.
You may perform ordinary remote work but may not use the Club as a registered business address, receive clients without approval, operate a storefront, conduct disruptive commercial activity, overload or misuse the network, or use the premises or systems unlawfully. Coaching, events, commercial filming, sales, and other organized commercial activity require Hilo's prior written approval.
-
Hilo uses security cameras in common areas and near entrances and maintains digital-entry, reservation, incident, and rule-enforcement records for access control, safety, security, operations, and protection of people and property. Cameras will not be placed in restrooms or other areas where privacy is reasonably expected. Hilo's Privacy Policy describes applicable collection, use, disclosure, and retention practices.
Personal photography is permitted only when it does not interfere with play or invade another person's privacy. Do not record another person's conversation, lesson, or image after an objection. Commercial filming and livestreaming require prior written approval. Hilo will use a separate optional release before using an identifiable member image or voice for marketing when consent is required.
-
Billiards and use of a shared, sometimes unstaffed facility involve inherent and reasonably foreseeable risks, including contact with balls, cues, racks, tables, lights, or other equipment; slips, trips, falls, collisions, repetitive motion, and physical strain; actions of other users; damaged equipment; food or beverages; and entering or leaving during late hours.
You acknowledge these risks and agree to use reasonable care, remain aware of your surroundings, inspect equipment before use, stop using anything that appears unsafe, promptly report hazards, and decide whether you are physically able to participate. For an immediate emergency, call 911 and follow posted instructions. Hilo may contact emergency services or your listed emergency contact when it reasonably believes doing so is necessary. Hilo does not promise continuous staffing, live camera monitoring, or immediate response to an alert.
Nothing in this Agreement releases Hilo from liability for Hilo's own negligence where such a release is prohibited by New York General Obligations Law Section 5-326 or other applicable law, or limits any right or remedy that cannot lawfully be waived.
-
Hilo may immediately suspend or terminate a membership for nonpayment, unauthorized entry, unsafe or disruptive conduct, harassment, property damage, repeated reservation no-shows, violations of this Agreement or the House Rules, or other conduct that Hilo determines in good faith is harmful to the Club, its members, or the member experience.
Hilo may also decline to renew a membership at the end of a paid membership period when, in Hilo's good-faith judgment, continued membership is not in the Club's best interests. Any such decision must be made for a lawful reason.
Hilo is not required to provide a detailed explanation for a suspension, termination, or nonrenewal, although it may provide a general notice when appropriate. Hilo will not make membership decisions for an unlawfully discriminatory or retaliatory reason.
If Hilo ends a membership before the end of a paid period for reasons unrelated to the member's conduct or breach of Club rules, Hilo will refund the unused prorated portion of that period. Termination does not eliminate payment obligations or claims that accrued earlier.
-
To the extent permitted by law, you agree to reimburse Hilo for reasonable losses, property damage, and third-party claims caused by your intentional misconduct, reckless conduct, unlawful acts, unauthorized admission of another person, or material breach of this Agreement. This section does not require you to indemnify Hilo for Hilo's own negligence or other conduct to the extent prohibited by law.
-
Hilo does not guarantee uninterrupted access, availability of a particular table or amenity, a minimum amount of playing time, continuous network service, or compatibility with a particular playing or working need. Hilo may repair, replace, reconfigure, or temporarily remove equipment and amenities.
To the maximum extent permitted by law, neither party will be liable to the other for remote or speculative consequential damages arising solely from interruption of ordinary Club or online services. This provision does not limit liability for personal injury, physical property damage, willful misconduct, gross negligence, statutory remedies, or any liability that cannot legally be limited.
-
Before filing a legal claim, you and Hilo agree to make a good-faith effort to resolve the dispute informally. Send a written description of the issue and requested resolution to hello@hilopoolroom.com. The receiving party will have 30 days to respond unless urgent relief, a filing deadline, or another circumstance makes waiting impractical.
This Agreement is governed by New York law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, proceedings may be brought in the state or federal courts located in Kings County, New York, and each party consents to those courts' jurisdiction. Either party may bring an eligible matter in small claims court or report a matter to a government agency.
-
If a provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. Hilo's failure to enforce a provision on one occasion is not a continuing waiver. Headings are for convenience only. Provisions concerning payment obligations, property damage, privacy, disputes, and other matters that by their nature should survive will continue after membership ends.
You may not assign or transfer membership. Hilo may assign this Agreement in connection with a merger, financing, reorganization, sale, or transfer of the Club business, subject to applicable law and required notice.
-
You consent to using electronic records and signatures for this Agreement, enrollment acknowledgments, billing and cancellation notices, access notices, and other membership communications. Hilo may send notices to the email address, member account, or other contact method you provide. You are responsible for maintaining accurate contact information. You may request a copy of this Agreement by emailing hello@hilopoolroom.com.
Electronic acceptance must be recorded with the Agreement version, date, time, and member account. Consent to this Agreement is separate from consent to receive marketing messages.
